Terms of Service

1. Agreement
By engaging Agenxes ("we", "us", "Company") you ("Client") agree to these Terms. A signed order form or accepted proposal incorporates these Terms by reference and controls in case of conflict.
2. Services
We deploy AI marketing agents inside your communication channels (Slack, WhatsApp, Telegram, Teams, etc.) and pair them with human operators who monitor, prompt, and pick up work the agent cannot complete on its own. Service modules are selected from our published catalog and may be added or removed monthly with written notice.
3. Fees & Billing
Fees are based on the modules selected. Invoices are issued monthly in advance and due net 7. Ad spend, third-party software licenses, and stock assets are passed through at cost unless stated otherwise. Late payments may pause delivery after 10 days.
4. Term & Cancellation
Engagements run month-to-month after an initial 30-day onboarding. Either party may cancel with 30 days written notice. Pre-paid fees for the notice period are non-refundable.
5. Client Responsibilities
Client provides timely access to required accounts, brand assets, and decision-makers. Client is responsible for the accuracy of approvals issued through the shared channel and for compliance with platform policies (Meta, Google, TikTok, etc.).
6. AI Output Disclaimer
AI-generated content is reviewed by human operators before publishing where the workflow requires it, but no AI system is perfect. Client retains final approval authority and assumes responsibility for content shipped to end audiences.
7. Confidentiality
Each party will protect the other's confidential information with the same care it uses for its own, and no less than reasonable care. NDAs supplement, not replace, this section.
8. IP Ownership
On full payment, Client owns deliverables created specifically for them. Agenxes retains ownership of its underlying tools, prompts, frameworks, and reusable methodology.
9. Limitation of Liability
To the maximum extent permitted by law, Agenxes' total liability is limited to fees paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Governing Law
These Terms are governed by the laws of the state in which Agenxes is registered, without regard to conflict-of-laws principles.
